1. Agreement to Terms

These Terms of Use (“Terms”) govern your access to and use of the website located at www.solidgroundaccounting.com (“Site”), operated by SolidGround Accounting (“SolidGround,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. About SolidGround Accounting

SolidGround Accounting is a productized accounting firm providing flat-fee monthly bookkeeping, financial reporting, and CFO advisory services to small and mid-sized businesses across multiple industries. Services are delivered remotely through QuickBooks Online, Xero, and related accounting platforms. Services described on this Site are subject to a separate engagement letter executed between SolidGround and each client. The Site itself is a marketing and lead-capture tool; nothing on the Site constitutes a binding offer to provide services.

3. Eligibility

You must be at least 18 years of age to use the Site. By using the Site, you represent and warrant that you are of legal age to form a binding contract.

4. No Professional Advice

The content on this Site is provided for general informational purposes only and does not constitute professional accounting, tax, legal, or financial advice. You should not act or rely on any information on the Site without seeking advice from a qualified professional regarding your specific situation. SolidGround disclaims all liability for actions taken or not taken based on Site content.

5. Intellectual Property

All content on the Site, including text, graphics, logos, images, and software, is the property of SolidGround Accounting or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and print Site content for your personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written permission.

6. Prohibited Activities

You agree not to:

  • Use the Site for any unlawful purpose
  • Use the Site to advertise or offer to sell goods or services
  • Sell, transfer, or assign your account or profile
  • Attempt to gain unauthorized access to the Site, its servers, or related systems
  • Use automated means (bots, scrapers, etc.) to access the Site without our permission

By submitting content, you grant SolidGround a non-exclusive, royalty-free, worldwide license to use, reproduce, and display the content for purposes related to operating the Site and providing services. You represent that you own or have rights to all Submitted Content and that it does not infringe any third-party rights.

8. Copyright Infringement Notification

If you believe content on the Site infringes your copyright, please notify us in writing at info@solidgroundaccounting.com with: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material on the Site; (c) your contact information; (d) a statement that you have a good-faith belief that the use is unauthorized; and (e) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner. We will review and respond to valid notices promptly.

9. Third-Party Links and Services

The Site may contain links to third-party websites or services (including Calendly for scheduling). We are not responsible for the content, privacy practices, or terms of any third-party services. Access them at your own risk.

10. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SOLIDGROUND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOLIDGROUND’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO YOUR USE OF THE SITE SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID TO SOLIDGROUND IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND U.S. DOLLARS ($1,000). IN NO EVENT SHALL SOLIDGROUND BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ANY CLAIM RELATED TO THE SITE MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE EVENT GIVING RISE TO THE CLAIM, OR IT IS PERMANENTLY BARRED.

12. Indemnification

You agree to indemnify and hold harmless SolidGround, its owners, employees, contractors, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party rights.

13. Dispute Resolution

Informal Negotiations. Before initiating any formal dispute, the parties agree to attempt to resolve the matter informally for at least thirty (30) days through direct written communication.

Binding Arbitration. If informal negotiations fail, any unresolved dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Oklahoma. SolidGround will pay arbitration fees deemed excessive by the arbitrator.

Court Litigation. If a dispute is not subject to arbitration, it shall be brought exclusively in the state or federal courts located in Tulsa County, Oklahoma, and you consent to the jurisdiction of those courts.

Waiver of Class Actions. All disputes must be brought in your individual capacity and not as part of any class or representative action.

14. Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict of laws principles.

15. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. Changes to These Terms

We may update these Terms at any time. The updated Terms will be posted on this page with a revised Effective Date. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms. We do not separately notify users of changes — it is your responsibility to review the current Terms periodically.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
